By accessing or using Saphierra ("the Platform"), operated by Saphierra ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.
Saphierra is an AI-powered fashion sourcing marketplace that connects fashion designers and brands ("Designers") with garment manufacturers ("Manufacturers"). Our services include AI-powered manufacturer matching, design generation tools, tech pack creation, messaging, sample request management, quote comparison, and production milestone tracking.
You must create an account to use the Platform. You agree to provide accurate, current, and complete information during registration. You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
The Platform serves two types of users: Designers and Manufacturers. Designers create projects, receive AI-matched manufacturer recommendations, and manage production. Manufacturers create profiles, receive matching requests, submit proposals, and fulfill production orders. Each user type has different features and obligations as described throughout these Terms.
Saphierra offers free and paid subscription plans for Designers. Free accounts have limited access to matches, messaging, and AI features. Paid plans ("Atelier" and "Studio") unlock additional features as described on our pricing page. Payments are processed through Stripe, Inc. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring monthly basis. You may cancel your subscription at any time, and your paid access will continue until the end of your current billing period. Refunds are not provided for partial billing periods. We reserve the right to change subscription prices with 30 days' written notice.
Manufacturer accounts are free. Manufacturers must provide accurate information about their capabilities, pricing, certifications, and production capacity. We reserve the right to verify manufacturer information and to suspend or remove accounts that provide misleading or inaccurate information. Manufacturer profiles are subject to an approval process before they become visible to Designers.
The Platform uses artificial intelligence to generate design concepts, tech packs, manufacturer matches, and cost estimates. AI-generated content is provided as a starting point and should not be relied upon as the sole basis for production decisions. We do not guarantee the accuracy, completeness, or suitability of AI-generated content. Match scores represent algorithmic compatibility assessments and do not constitute endorsements or guarantees of manufacturer quality.
The Platform provides messaging features for communication between Designers and Manufacturers. You agree not to use messaging for spam, harassment, sharing harmful content, or any purpose unrelated to fashion production. We reserve the right to monitor messages for compliance and safety purposes. We are not responsible for the content of messages exchanged between users.
Saphierra facilitates connections between Designers and Manufacturers but is not a party to any production agreements, contracts, or transactions between users. Any agreements regarding pricing, timelines, production terms, quality standards, or payment for manufacturing services are solely between the Designer and Manufacturer. We are not responsible for the quality, safety, legality, or timely delivery of any goods produced through connections made on the Platform.
You retain ownership of all designs, tech packs, images, and other creative content you upload to the Platform. By uploading content, you grant us a limited, non-exclusive license to display, store, and process your content solely for the purpose of providing our services. We will not sell, share, or use your designs for any purpose other than operating the Platform. The Saphierra name, logo, and platform design are our intellectual property and may not be used without permission.
We understand that fashion designs and production details are sensitive. We take reasonable measures to protect your confidential information. However, by sharing designs and specifications with matched Manufacturers through the Platform, you acknowledge that those Manufacturers will have access to your project details. We recommend using non-disclosure agreements for sensitive projects, which are the responsibility of the parties involved.
You agree not to: use the Platform for any illegal purpose; circumvent the Platform to contact users outside the Platform to avoid fees; create multiple accounts; scrape, harvest, or collect user data; upload malicious code; impersonate another person or entity; interfere with the Platform's operation; or violate any applicable laws or regulations.
We may suspend or terminate your account at our sole discretion if you violate these Terms, engage in fraudulent activity, or if your account is inactive for an extended period. You may delete your account at any time by contacting us. Upon termination, your right to use the Platform ceases immediately, though we may retain certain information as required by law.
To the maximum extent permitted by law, Saphierra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Platform. Our total liability for any claims arising from these Terms shall not exceed the amount you paid to us in the twelve months preceding the claim.
The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure.
You agree to indemnify and hold harmless Saphierra and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after changes constitutes acceptance of the updated Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of New York.
